Terms and Conditions for Software and AI Services

1. About these terms

These terms apply to the software development services PSI Square ("we", "us") provides to you ("you", "the client"). They apply when you accept a quote, pay an invoice or start a project with us. If you and we sign a separate written agreement, that agreement wins wherever it differs from these terms. PSI Square Private Limited with Corporate Unique Identification No. 0233670.

2. What we do

We build custom software to your specification, including MetaTrader 4 and 5 Expert Advisors, indicators and scripts, NinjaTrader and TradingView tools, Python integrations, AI automation, and web and mobile software, as set out in your quote.

We are a software developer. We do not give investment, financial, tax or legal advice. We do not provide trading signals, brokerage services or account management, and we do not manage client funds.

3. Quotes and scope

• Every project starts with a written spec and a quote. The quote is valid for 30 days.
• The spec defines the scope: what we will build, how it will behave and what we will deliver.
• Anything outside the spec is a change request. We tell you the extra price and time before we do the work, and you approve it first.

4. Price and payment

• Prices are fixed for the agreed scope, in USD.
• Payment schedule: For Example 50% before work starts and 50% on delivery. Larger projects are paid in milestones set out in the quote.
• We accept Wise, Stripe, Wire transfer.
• If a payment is late, we may pause work until it is received. We keep the final source code until the project is paid in full.

5. Timelines

Timelines in a quote are estimates. They start once the spec is approved and the first payment has cleared. They depend on a clear spec and on you answering questions and giving feedback promptly. Time lost waiting for you is not counted against us. As a guide, a single-strategy Expert Advisor usually takes 5-10 business days.

6. What we need from you

• Clear, complete rules for the software you want. If something is missing or unclear, tell us when we ask.
• Access to anything we need to build and test, such as data, sample files or demo accounts.
• That you have the right to give us any strategy, code or indicator you send us, and that using it does not break anyone else's rights.
• That you test the delivered software on a demo account before using it live, and keep your own backups.

7. Testing and acceptance

We test the software against the agreed scenarios, usually in the MetaTrader Strategy Tester or on a demo account, and send test reports where they apply. After delivery you have 5 business days to test it and tell us about anything that does not match the spec. After that, the work counts as accepted, except for defects covered by our Refund & Revision Policy.

8. Ownership and source code

• Once the project is paid in full, you own the custom code we wrote for you, including the full source code.
• Third-party libraries and open-source components stay under their own licences. Our own general tools and code libraries that we reuse across projects stay ours, and you get a permanent right to use them inside your delivered software.
• We will not name you or show your project in our portfolio without your permission.

9. Confidentiality

We keep your strategy, code and business details confidential and use them only for your project. You agree to do the same for our non-public information. We sign an NDA on request, and a signed NDA takes priority over this section. This does not cover information that is already public or that the law requires us to disclose.

10. No performance guarantee

Trading carries a high level of risk and you can lose money. How software performs depends on the strategy, the market, your broker, your settings and many other things we do not control.

• Backtested and Strategy Tester results do not predict or guarantee live results.
• We do not guarantee profit, or that any software will pass a prop firm evaluation or keep a funded account.
• You alone decide how to trade and what capital to risk. You are responsible for your trading and for running any software on a live account.

11. Platforms, brokers and trademarks

MetaTrader 4, MetaTrader 5, MQL4 and MQL5 are trademarks of MetaQuotes Ltd. NinjaTrader and TradingView are trademarks of their owners. We are not affiliated with, endorsed by or partnered with them.

Platforms, brokers and prop firms can change their software and rules at any time. Software that works at delivery may behave differently after a change. Updating it for those changes is not part of the original project unless we agree a support plan.

12. Revisions, support and maintenance

Fixes for defects after delivery follow our Refund & Revision Policy. Ongoing support and maintenance are available under a separate agreement.

13. Limits on our liability

To the fullest extent the law allows:

• We are not liable for trading losses, lost profits, lost opportunities, or indirect or consequential loss of any kind.
• Our total liability for any claim connected with a project is limited to the amount you paid us for that project.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

14. Ending a project

You can cancel a project at any time by writing to us. Either of us can end it if the other seriously breaks these terms and does not fix the problem within 7 days of written notice. You pay for the work done up to that point. Refunds follow our Refund & Revision Policy.

15. Our website

The content on our website belongs to PSI Square. You may not copy it without our permission.

16. Governing law

These terms are governed by the laws of Pakistan. We will try to settle any disagreement in good faith first. If we cannot, the courts of Lahore, Pakistan have jurisdiction.

17. General

We may update these terms, and the version in force when you accepted your quote applies to your project. These terms and your quote make up the whole agreement between us. If any part is found unenforceable, the rest still applies.
